Terms of Service

Effective date: July 23, 2026

These Terms of Service ("Terms") form a legal agreement between you and proRE.Services ("proRE.Services," "we," "us," or "our"). They govern your access to and use of the website at prore.services and any related portals, dashboards, and services (collectively, the "Services").

By creating an account, submitting a form, or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. The Services

proRE.Services provides transaction coordination for real estate agents, buyers, and sellers — including document collection, timeline tracking, communications support, escrow-related administrative tasks, and closing coordination. Transaction coordinators are not attorneys, licensed real estate brokers or agents representing you, escrow officers, lenders, tax advisors, or financial advisors. Nothing provided through the Services is legal, tax, or investment advice.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent that you meet these requirements.

3. Accounts and security

  • You must provide accurate, current, and complete information when you register.
  • You are responsible for keeping your password confidential and enabling multi-factor authentication where offered.
  • You are responsible for all activity that occurs under your account.
  • Notify us promptly if you suspect unauthorized access.
  • One account per person; you may not share credentials.

4. Your content and submissions

You retain ownership of the content you submit — including transaction documents, messages, applications, feature requests, and team bios ("Your Content"). By submitting Your Content, you grant proRE.Services a worldwide, royalty-free license to host, copy, display, transmit, process, and analyze Your Content solely to provide, secure, improve, and support the Services, including through AI-assisted features. You represent that you have the rights necessary to submit Your Content and that it does not violate any law or third-party right.

5. Acceptable use

You agree not to:

  • Use the Services for any unlawful, fraudulent, or misleading purpose.
  • Impersonate anyone or misrepresent your role in a transaction.
  • Scrape, harvest, or automate access without our written permission.
  • Reverse engineer, decompile, or attempt to derive the source code of the Services.
  • Interfere with or disrupt the Services or their infrastructure.
  • Upload malware, spam, or content that violates law or others' rights.
  • Attempt to bypass authentication, authorization, or security measures.

6. Fees and payments

Fees for services are agreed to on a per-engagement basis. Online payments are processed by Stripe; offline payments may be arranged with a coordinator. Except as required by law or expressly agreed in writing, fees are non-refundable once services have been rendered. Chargebacks or disputes must be initiated in good faith and only after contacting us directly.

7. Preferred partners and third-party services

We list preferred partners (lenders, inspectors, title/escrow, etc.) as a convenience. These are independent third parties and we do not control their services. Your engagement with any partner is solely between you and that partner. Similarly, third-party services integrated with the platform (e.g., Google Sign-In, Stripe) are governed by their own terms and privacy policies.

7.5 AI-generated content and outputs

proRE.Services may provide features that use artificial intelligence or machine learning ("AI features") to generate, summarize, classify, or analyze content in order to assist users with real estate transactions and related communications. AI features are part of the Services; there is no separate opt-out at this time.

No reliance on outputs. AI-generated outputs are provided "as is" and may be inaccurate, incomplete, or unsuitable for your specific transaction. They do not constitute legal, tax, financial, real estate, or investment advice. You are solely responsible for reviewing, verifying, and approving any AI-generated content before using it in a transaction or sharing it with third parties.

Your inputs. You retain ownership of any content you submit to AI features. By submitting content, you grant proRE.Services and its AI subprocessors the limited right to process that content solely to provide, secure, and improve the AI features you use, subject to the Privacy Policy. Your obligations under Section 9 (Confidentiality) continue to apply to any counterparty personal or financial information you submit to AI features.

Our ownership. proRE.Services and its licensors retain all rights in the AI features, including our prompts, configurations, fine-tuning, workflows, and software. Rights in the underlying third-party AI models remain with those providers. You receive only a limited, non-exclusive, non-transferable license to use AI outputs for your internal transaction-coordination purposes through the Services.

No training on identifiable content. We will not train our own models, and we do not permit third-party AI providers to train their general models, on identifiable customer content without prior notice and, where required, your consent.

Acceptable use of AI features. You agree not to:

  • Use AI features to generate unlawful, fraudulent, defamatory, harassing, discriminatory, or misleading content.
  • Attempt to reverse engineer, extract training data from, or manipulate AI models, system prompts, or safety controls.
  • Use automated scripts, bots, or scraping tools to interact with AI features.
  • Submit content that you do not have the right to share or that violates any law or third-party right.

8. Intellectual property

The Services, including the site design, logos, branding, text, graphics, and software, are owned by proRE.Services or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission, except as expressly permitted by these Terms.

9. Confidentiality

Transaction information often includes non-public personal, financial, and property information. You agree to treat information you receive through the Services as confidential, to use it only for purposes of the applicable transaction, and to protect it from unauthorized disclosure.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED. THIS DISCLAIMER APPLIES TO ALL AI-GENERATED CONTENT AND OUTPUTS PROVIDED THROUGH THE SERVICES.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRORE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You agree to indemnify and hold harmless proRE.Services and its personnel from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from (a) your use of the Services, (b) Your Content, (c) your violation of these Terms, or (d) your violation of any law or third-party right.

13. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe your use puts us or others at risk. Sections that by their nature should survive termination will do so (including sections on intellectual property, confidentiality, disclaimers, liability, indemnification, and governing law).

14. Governing law and dispute resolution

These Terms are governed by the laws of the State of Nevada, without regard to conflict of law rules. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Clark County, Nevada, and you consent to their jurisdiction and venue. To the extent permitted by law, you and proRE.Services each waive any right to a jury trial and to participate in a class or representative action.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Effective date" above and provide reasonable notice. Your continued use of the Services after the effective date constitutes your acceptance.

16. Miscellaneous

  • These Terms are the entire agreement between you and proRE.Services about the Services.
  • If any provision is unenforceable, the rest remain in effect.
  • Our failure to enforce a right is not a waiver.
  • You may not assign these Terms; we may assign them in connection with a business transfer.
